These Terms and Conditions ("Terms") govern the sale of products and services by COTS RF LLC (“COTS RF”, "Seller," "we," "us," or "our") to any purchaser ("Buyer" or "you"). By purchasing, accepting delivery of, or using any product sold by COTS RF, Buyer agrees to be bound by these Terms.

1. Scope and Application

These Terms apply to all quotations, sales, deliveries, and services provided by COTS RF, including but not limited to radio frequency (RF), microwave (MW), and millimeter-wave (mmW) electronic components, such as RF filter products, RF components, and integrated assemblies (collectively, "Products"). Any additional or conflicting terms proposed by Buyer are rejected unless expressly agreed to in writing by COTS RF.

2. Quotations and Orders

2.1  All quotations are valid for thirty (30) days unless otherwise stated in writing.

2.2  Orders are subject to acceptance by COTS RF.

2.3  COTS RF reserves the right to reject or cancel any order prior to shipment.

2.4  Once accepted, orders may not be canceled or modified without COTS RF’s  prior written consent.

3. Pricing and Payment

3.1  Prices are as stated in the applicable quotation or order confirmation.

3.2  Prices do not include taxes, duties, tariffs, shipping charges, or insurance unless explicitly stated.

3.3  Buyer is responsible for all applicable taxes and fees.

3.4  First time customer terms are pay in advance (PIA). Once established, payment terms are net thirty (30) days from invoice date unless otherwise agreed upon  in writing.

3.5  Late payments may accrue interest at the lesser amount of 1.5% per month or the maximum rate permitted by law.

4. Delivery and Title

4.1  Delivery dates are estimates only and are not guaranteed.

4.2  Title and risk of loss transfer to Buyer upon shipment from COTS RF’s facility.

4.3  COTS RF is not responsible for delays caused by carriers, customs, force majeure, or other events beyond its reasonable control.

5. Inspection and Acceptance

5.1  Buyer must inspect Products within fourteen (14) days of receipt.

5.2  Any claims for shortages, damage, or nonconformity must be submitted in writing within this inspection period.

5.3  Failure to notify COTS RF constitutes acceptance of the Products.

6. Warranty Information

6.1  COTS RF warrants that Products shall be free from defects in performance and workmanship under normal use and service for a period of one (1) year from the date of shipment (“Warranty Period”) 

6.2  One (1) year limited warranty on all products.

6.3  COTS RF reserves the right to determine whether a product is repairable or if replacement is necessary.

6.4  Warranty Coverage

          This limited warranty applies only to Products manufactured by COTS RF and does not cover:

                  a.  Improper installation, misuse, abuse, or neglect

                  b.  Operation outside published electrical, thermal, or environmental specifications

                  c.  Unauthorized modification or repair

                  d.  Damage caused by electrostatic discharge (ESD), improper handling, or environmental                                    exposure

6.5  Exclusive Remedy

  COTS RF’s sole obligation and Buyer’s exclusive remedy under this warranty shall be, at COTS         RF’s option:

                 a.  Repair of the defective Product

                 b.  Replacement of the defective Product

                 c.  Refund of the purchase price paid for the defective Product

                 d.  Warranty service requires a returned material authorization (RMA) issued by Seller.

7. Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED HEREIN, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL SELLER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, OR LOSS OF BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COTS RF’s total liability arising out of or related to the Products shall not exceed the purchase price paid for the Products giving rise to the claim.

9. End Use and End User Certification

Buyer represents and warrants that Products shall not be used in prohibited end uses, unless expressly authorized by applicable law.

Upon request, Buyer shall provide end-use, end-user, and destination certifications reasonably required by Seller or by applicable governments authorities.

10. Compliance and Export Control

Buyer agrees to comply fully with all applicable laws and regulations, including U.S. export control and sanctions laws. Buyer shall not export or re-export Products in violation of such laws.

11. Force Majeure

COTS RF shall not be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, labor disputes, supply chain disruptions, or governmental actions.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict-of-laws principles.

13. Entire Agreement

These Terms constitute the entire agreement between Seller and Buyer regarding the sale of Products and supersede all prior or contemporaneous agreements, whether written or oral.
